1. The Service

BluPrnts provides a coordination and dispatch platform. You submit maintenance requests; Mia helps gather details, generate quotes, and dispatch a Vendor; and the Platform tracks the job to completion.

2. Role of BluPrnts (please read carefully)

BluPrnts coordinates jobs and screens Vendors for licensing and insurance, and helps facilitate the resolution of issues. However, Vendors are independent contractors, not employees or agents of BluPrnts. BluPrnts does not itself perform the maintenance or repair work, is not a general contractor, and does not guarantee the workmanship, timing, or results of any Vendor. Warranties for the work run from the Vendor. This "hybrid" model means we stand behind the coordination experience and will help with disputes, but the contracting work is performed by independent Vendors.

3. Eligibility & Account

You represent that you are authorized to request services for the properties you submit, including any authority required from property owners, and that the information you provide (including access details) is accurate. You are responsible for activity under your account and for keeping credentials secure.

4. How Jobs Work

You submit a request, review the quote or estimate, and authorize BluPrnts to dispatch a Vendor. Authorizing a job is your authorization to incur the associated charges, subject to any spending limits you set. You are responsible for safe and timely property access (keys, codes, occupant coordination, accurate unit info); delays or inaccurate information may result in rescheduling, trip, or cancellation fees. Estimates may change based on actual site conditions; additional or change-order work requires your approval first, except in a bona fide emergency to prevent imminent harm or property damage.

5. Fees & Payment

You agree to pay job charges, any platform/coordination or subscription fees disclosed to you, and applicable taxes, processed through our payment processor (Stripe). You authorize charges to your payment method for authorized jobs and fees. Late, failed, disputed, or charged-back payments may incur fees, suspension, and collection costs. Cancellations and no-shows may be subject to disclosed fees.

6. Warranties & Remedies

Vendors are expected to perform in a workmanlike manner and to provide the workmanship warranty disclosed in the Platform. If you are not satisfied, notify BluPrnts promptly and we will help facilitate a re-service, correction, or other resolution consistent with the Vendor's warranty and our policies. Except as expressly stated, the Platform and coordination services are provided "as is"; warranties for the physical work are provided by the Vendor, not BluPrnts.

BluPrnts processes personal information as described in its Privacy Policy. You are responsible for ensuring you have the right to share tenant/occupant information with BluPrnts and for providing any notices required by law to those individuals. The parties will comply with applicable privacy laws, including the CCPA/CPRA where applicable.

9. AI & Communications Consent

You acknowledge that Mia is an automated AI assistant and that AI-generated content may contain errors; important actions are subject to your authorization, and human escalation is available. You consent, and represent that authorized users and contacts you provide consent, to receive SMS, voice, and other communications (including automated and AI messages, and call recording where disclosed) related to jobs and your account. Message and data rates may apply. Reply STOP to opt out of non-essential texts and HELP for help.

10. Confidentiality & IP

Each party will protect the other's non-public information. BluPrnts owns the Platform, Mia, and related IP and grants you a limited, revocable, non-exclusive license to use it for your internal property-management purposes during the term.

11. Indemnification

You will defend, indemnify, and hold harmless BluPrnts and its affiliates from third-party claims arising out of your use of the Platform, your breach or violation of law, your lack of authority or consent regarding a property/owner/tenant/contact, or your data or content. BluPrnts will indemnify you against third-party claims that the Platform itself infringes a U.S. IP right, subject to the limitations below.

12. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages or lost profits. BluPrnts' total aggregate liability will not exceed the greater of the fees you paid in the [3] months before the event or $[100]. Nothing limits liability that cannot be limited under California law.

13. Term & Termination

Either party may terminate for convenience on [30] days' notice (or as stated in your subscription). BluPrnts may suspend immediately for non-payment, suspected fraud, misuse, or legal reasons. Accrued payment obligations and surviving sections survive termination.

14. Arbitration; Class Waiver; Governing Law

PLEASE READ CAREFULLY. Except for small-claims matters and injunctive relief to protect IP/confidential information, disputes will be resolved by final and binding arbitration administered by [JAMS/AAA] before a single arbitrator seated in [County], California. The parties waive jury trial and class/representative actions to the maximum extent permitted by law. This Agreement is governed by California law.
