Independent Contractor Services Agreement. This summary is the full agreement you accept when you activate your BluPrnts vendor account. It is also available as a downloadable document. Items in [brackets] are completed during onboarding.

1. Independent Contractor Relationship

You are an independent contractor and an independent business — not an employee, agent, or partner of BluPrnts, and not entitled to employee benefits. Consistent with California's ABC test (Labor Code § 2775 et seq.) and the business-to-business exemption (§ 2776): you are free from BluPrnts' control in how you perform the work; the work is outside BluPrnts' usual course of business (we operate a coordination/dispatch platform, not a trades business); and you are customarily engaged in your own established trade or business. You set your own schedule and methods, supply your own tools and materials, may accept or decline any job, and may work for others.

2. Licensing & Eligibility

You represent that you hold and will maintain all licenses, registrations, and permits required for the work you offer (including, where applicable, a California CSLB license) and comply with all laws and codes. You will provide accurate onboarding information, including a Form W-9 and proof of insurance, and you authorize background, identity, license, and sanctions checks as permitted by law.

3. Jobs & Performance

Job offers are presented through the Platform; you may accept or decline, and BluPrnts does not guarantee any volume of work. When you accept a job, you agree to perform it in a professional, workmanlike manner consistent with the agreed scope and applicable codes, communicate status through the Platform (including before/after photos), and obtain PM approval before performing additional or change-order work. You will not subcontract a job without our prior written consent.

4. Pricing, Service Fee & Payment

Your compensation for a job is the amount in the accepted offer, less the platform Service Fee [currently 30% of job value] and any processing or chargeback amounts. BluPrnts (via Stripe) collects payment from the PM and pays you on the schedule shown in the Platform [e.g., weekly via direct deposit after PM approval]. You are solely responsible for your taxes; we report on Form 1099 and do not withhold taxes or provide benefits.

5. Insurance

Unless otherwise agreed, you will maintain commercial general liability insurance of not less than $[1,000,000] per occurrence, workers' compensation as required by law for your personnel, and commercial auto where vehicles are used, and provide certificates on request.

6. Your Obligations & Warranty

• Perform work safely, lawfully, and to code.
• Warrant your workmanship for [the period shown in the Platform / not less than 30 days] and correct defective work at no additional charge.
• Maintain required licenses, permits, and insurance throughout.
• Treat PMs, tenants, occupants, and property with courtesy; follow site rules.
• Complete all checklist items and submit before/after photos on every job.
• Provide at least [2 hours] notice for cancellations and maintain a [4.0]+ rating.

7. Confidentiality & Data

You will keep confidential and use only to perform jobs all non-public information you receive, including PM, owner, tenant, and occupant personal information, access codes, and photos, and protect it with reasonable safeguards in compliance with applicable privacy laws (including CCPA/CPRA where applicable).

8. Intellectual Property

BluPrnts owns the Platform, Mia, and related IP and grants you a limited, revocable license to use it to receive and perform jobs. You grant BluPrnts a license to use job photos and notes you submit to operate, improve, and document the Service.

9. Non-Circumvention

During the term and for [12] months afterward, you will not arrange off-Platform to perform the same work for a PM first introduced to you through the Platform in order to avoid the Service Fee. This does not restrict your independent business or pre-existing relationships and is limited to what is enforceable under California law (Bus. & Prof. Code § 16600).

10. Indemnification

You will defend, indemnify, and hold harmless BluPrnts, its affiliates, and the applicable PM and property owner from third-party claims arising out of your performance or non-performance, your breach or violation of law, bodily injury or property damage caused by you or your personnel, or your tax/wage obligations to your own personnel.

11. Disclaimers & Limitation of Liability

The Platform is provided "as is." To the maximum extent permitted by law, BluPrnts is not liable for indirect, incidental, special, consequential, or punitive damages, and its total liability will not exceed the Service Fees it retained from you in the [3] months before the claim.

12. Term & Termination

Either party may terminate for convenience on [7] days' notice. BluPrnts may suspend or deactivate you immediately for safety concerns, suspected fraud, lapsed license or insurance, material breach, or legal reasons. Sections that should survive will survive.

13. Arbitration; Class Waiver; Governing Law

PLEASE READ CAREFULLY. Except for small-claims matters and injunctive relief to protect IP/confidential information, disputes will be resolved by final and binding arbitration administered by [JAMS/AAA] before a single arbitrator seated in [County], California. You and BluPrnts waive jury trial and class/representative actions to the maximum extent permitted by law. [Certain representative/PAGA claims may not be waivable.] This Agreement is governed by California law.

14. Communications Consent

You consent to receive operational SMS, voice, and other messages (including automated and AI messages from Mia) at the contact information you provide, for job offers, scheduling, and account purposes. Message and data rates may apply. Opting out of operational messages may prevent you from receiving jobs.
